PT Telkom Indonesia (Persero) Tbk (Telkom) will resume operating and maintaining Temporary National Data Center (PDNS) services during the transition period until the government’s PDN is fully operational.
Telkom held an Extraordinary General Meeting of Shareholders (EGMS) on Friday (12/12).One of the EGMS agendas is approval of assignments given by the government regarding the management of PDNS operations.

This assignment is said to reflect the government’s confidence in Telkom’s competence as a major data center and cloud player.Telkom as a leading digital telco company is committed to carrying out operations and continuity of services for PDNS so that the digital transformation vision which is a government program continues to run and the country’s data sovereignty can be well maintained.
At the EGMS, Telkom also officially obtained approval from independent shareholders for the spin-off of part of the Wholesale Fiber Connectivity business and assets from Telkom to PT Telkom Infrastruktur Indonesia (TIF), known as InfraNexia.
Classified as an affiliate transaction as regulated in OJK Regulation No.42/2020, this corporate action requires independent shareholder approval, which in its implementation has met a quorum and been approved by the majority of independent shareholders.
This initiative to separate some of Wholesale Fiber Connectivity’s businesses and assets into a new entity is said to be part of Telkom’s strategic TLKM 30 transformation strategy.
InfraNexia itself is projected to become a new growth driver that will strengthen company performance through optimizing infrastructure assets and improving the quality of digital infrastructure services.
“Obtaining approval for the separation of business and assets strengthens the company’s transformation agenda to build a more focused and agile business structure, so that Telkom can make a greater contribution to accelerating national digitalization and creating added value for the company, stakeholders, society and the country,” said Telkom Main Director Dian Siswarini in his statement, Saturday (13/12).
Through this corporate action, InfraNexia will focus more on developing the fiber business, increasing operational and investment cost efficiency, as well as opening up opportunities for network sharing and strategic partnerships to create optimal added value for all stakeholders.
In terms of asset ownership, after the first spin-off phase InfraNexia will own more than 50 percent of Telkom’s total fiber network infrastructure which includes the access, aggregation, backbone and other supporting infrastructure segments.
Meanwhile, the second spin-off phase is targeted to be fully completed in 2026 with a total asset value of IDR 90 trillion.
The birth of InfraNexia is also a manifestation of Telkom’s commitment to supporting the long-term transformation agenda of BUMN in line with the direction of national policy and the mandate from Danantara to increase efficiency and provide maximum contribution to the country.
The large market potential and wide expansion space in various sectors that require digital connectivity support are considered to be a big opportunity for InfraNexia as the main connectivity infrastructure provider in Indonesia.
Change of directors
In the EGMS agenda, Telkom also made changes to the composition of the company’s management.
In the ranks of commissioners, Yohanes Surya’s position as independent commissioner was replaced by Rofikoh Rokhim.
For the board of directors, shareholders appointed Budi Satria Dharma Purba to replace Honesti Basyir as director of wholesale & international services.Budi himself was previously the President Director of PT Telekomunikasi Indonesia International (Telin).
